1. Purpose and Scope

1.1 Purpose

This Earnings Disclaimer ("Disclaimer") explains how earnings, revenue, commissions, savings, and other financial outcomes associated with the ALL Platform, ALL360 Devices, ALL360 OS, ALL Control Tower, the ALL Marketplace, and all related services (collectively, the "Platform") should be understood. The Platform is operated by All360 Technology S.A., a company incorporated in the Republic of Panama ("ALL", "we", "us", "our").

ALL360 Devices and ALL360 OS licences are sold and licensed by Allecosystem Technologies LLC, a company incorporated in the United Arab Emirates (the "Seller"). In respect of the sale, delivery, return, refund, and warranty of ALL360 Devices and the grant of ALL360 OS licences, references to "ALL" include the Seller.

1.2 Application

This Disclaimer applies to every person who views, purchases, uses, or participates in the Platform in any capacity, including Customers, Node Operators, Developers (also referred to as "Builders"), Business Customers, and Affiliates, and to every statement concerning earnings or savings made on the Platform website, the Platform dashboard, the Developer Portal, the ALL Marketplace, product packaging, marketing materials, social media, webinars, presentations, and any communication by ALL or any person acting or claiming to act on ALL's behalf.

1.3 Relationship to Other Documents

This Disclaimer is incorporated by reference into, and forms part of, the ALL Platform Terms of Use ("Terms of Use"), the Node Operator Master Agreement, the ALL Developer License Agreement, and any Affiliate agreement. Capitalised terms used but not defined herein have the meanings given to them in the Terms of Use or the applicable role-specific agreement. In the event of conflict, the role-specific agreement prevails as to the calculation and payment of earnings, and this Disclaimer prevails as to the interpretation of any earnings, savings, or performance statement.

2. No Guarantee of Earnings

2.1 General Principle

ALL does not guarantee, promise, warrant, or represent that any person will earn any money, any particular amount of money, or any return at all through the purchase of an ALL360 Device, the operation of a Node, the publication of an App, participation in an Affiliate program, or any other use of the Platform.

2.2 No Projection or Promise

No statement made by ALL, its officers, employees, contractors, Affiliates, Node Operators, Developers, community members, or any third party constitutes a projection, forecast, promise, or guarantee of future earnings, utilisation, workload allocation, or payout. Any example, calculator, simulation, scenario, or illustration is provided solely to explain how the revenue-share mechanism operates and must not be relied upon as an indication of what you will earn.

2.3 Primary Purpose of the ALL360 Device

The ALL360 Device is a consumer and small-business computing device that provides functionality to its owner, including the software, applications, and bundled services described at the point of sale. The opportunity to contribute resources to the Platform network in exchange for a share of Qualifying Revenue is an optional feature that requires a separate opt-in. The purchase price of an ALL360 Device is paid for the hardware and the functionality described at the point of sale, and not for any right to receive workloads, earnings, or payouts.

3. Factors Affecting Earnings

3.1 Node Operator Earnings

Node Operator earnings are calculated as a share of Qualifying Revenue, in accordance with the Node Operator Master Agreement and the Earnings Schedule. Qualifying Revenue only arises when a Business Customer actually pays ALL for utilisation of a Node's resources. This calculation is without prejudice to compensation expressly payable under Sections 8.9 and 8.10(d) of the Terms of Use. Factors that affect whether, and how much, a Node earns include, without limitation:

• Business Customer demand for each Service Category, which may vary significantly by time, region, and market conditions, and may be zero for extended periods;
• The geographic location of the Node, the number of other Nodes in the same region, and the competition between Nodes for workload allocation;
• The Service Categories the Node Operator has opted into, and any changes ALL makes to the availability of Service Categories;
• Node uptime, connection quality, bandwidth, latency, hardware performance, ISP restrictions, and compliance with minimum performance thresholds;
• Workload allocation decisions made by ALL Control Tower, which are automated and are not guaranteed to be equal between Nodes;
• Platform fees, PSP/VASP processing fees, withdrawal fees, chargebacks, refunds, reversals, taxes withheld, and adjustments set out in the Earnings Schedule;
• Payout holds, KYC/KYB status, sanctions screening, investigations, and the other grounds for withholding set out in the Node Operator Master Agreement;
• Changes to the Earnings Schedule, revenue-share rates, or Qualifying Revenue definitions made in accordance with the Node Operator Master Agreement;
• Regulatory, legal, or commercial developments that may restrict, suspend, or discontinue a Service Category in one or more jurisdictions.

3.2 Developer (Builder) Revenue

Builder Revenue depends on User adoption, Marketplace demand, App quality, pricing, competition, App review outcomes, and App performance, and is calculated in accordance with the ALL Developer License Agreement and the Developer Revenue Schedule. Approval or publication of an App in the ALL Marketplace, or any featured placement of an App, does not constitute a promise or projection of downloads, usage, or revenue. Usage-based monetisation generates revenue only to the extent Users actually use and pay for the App.

3.3 Affiliate and Referral Earnings

Affiliate commissions and referral rewards, where offered, are earned only on qualifying transactions that are completed, paid, not refunded or charged back, and correctly attributed in accordance with the applicable Affiliate terms. ALL does not guarantee any level of referral activity or commission. Affiliate compensation is earned for the promotion of products and services sold to genuine end users and never for the recruitment of other participants as such.

3.4 Your Costs

When assessing whether participation may be worthwhile for you, you must take into account all costs you will bear, which may exceed any earnings you receive, including: the purchase price of the ALL360 Device and any shipping, import duties, and taxes; any applicable OS licensing or platform access fee; electricity; internet service and any additional costs or restrictions imposed by your ISP; equipment, storage, and network accessories; withdrawal, conversion, and blockchain network fees; tax compliance and professional advice costs; and your own time.

4. Published Earnings Information

4.1 Typical Results

Where ALL publishes earnings information, ALL will endeavour to present it in a way that reflects the results generally achieved by participants and not only exceptional results. Any such information will identify, where reasonably available: the period covered; the number of Nodes, Builders, or Affiliates included; the methodology used; and the proportion of participants who earned nothing, or less than a stated amount, during that period.

4.2 Historical Data Only

Published earnings information describes past results under past conditions. Past results do not predict or guarantee future results. Network conditions, Business Customer demand, the number of participating Nodes, and the Earnings Schedule change over time, and future results may be materially lower.

4.3 Individual Results and Testimonials

Any testimonial, case study, screenshot, dashboard image, or statement describing the results of an individual participant reflects that participant's individual experience only and is not typical unless expressly stated with supporting data. Testimonials may not reflect the costs incurred by that participant. Where ALL has provided compensation, free products, or other benefits to a person providing a testimonial, ALL will disclose that relationship where required by applicable law.

4.4 Savings Statements

Statements regarding savings that may be achieved by using an ALL360 Device or bundled services in place of third-party subscriptions are illustrative estimates based on publicly available third-party pricing at the time the statement was prepared. Actual savings depend on the services you would otherwise have purchased, your usage, the availability and duration of bundled services, and changes in third-party pricing, and may be lower or nil.

5. Nature of Participation

5.1 Not an Investment

Purchasing an ALL360 Device, paying an OS licensing or platform access fee, publishing an App, or participating as an Affiliate is not an investment in ALL or in any other entity and does not confer any equity, debt, profit-participation, governance, or ownership right in ALL, the Platform, or any pool of revenue. Node Operator earnings are consideration for the resources actively contributed by the Node Operator's own Node and are calculated solely by reference to that Node's actual utilisation.

5.2 Not Passive Income

Earnings are not "passive income". Participation as a Node Operator requires the Node Operator to own, configure, power, connect, maintain, and secure the Node; to choose and manage Service Category opt-ins; to comply with ISP terms, applicable law, the AUP, and the Node Operator Master Agreement; and to complete KYC/KYB and tax obligations.

5.3 Independent Status

Node Operators, Builders, and Affiliates participate as independent parties and not as employees, agents, partners, or franchisees of ALL. ALL does not set working hours, does not direct how any participant operates its business, and does not guarantee any participant a minimum level of activity.

5.4 No Financial, Investment, Legal, or Tax Advice

Nothing on the Platform constitutes financial, investment, legal, accounting, or tax advice. You should seek independent professional advice appropriate to your circumstances before purchasing an ALL360 Device or participating in the Platform. Tax matters are addressed in the ALL Tax Disclosure.

6. Payouts in Digital Assets

Where payouts are made in cryptocurrency or other digital assets (including stablecoins such as USDC), you bear all risks associated with holding, transferring, converting, and using such assets, including price volatility, de-pegging of stablecoins, blockchain network congestion and fees, incorrect wallet addresses, loss of private keys, and regulatory changes in your jurisdiction. The value of a payout in your local currency may differ from its value at the time it was credited or paid. ALL does not convert, safeguard, or insure digital assets once transferred to your wallet.

7. Statements by Third Parties

7.1 Unauthorised Claims

Only official materials published by ALL on the Platform website, dashboard, or Developer Portal represent ALL's position on earnings. ALL is not responsible for, and does not adopt, any earnings, income, profitability, return-on-investment, or "passive income" claim made by any Affiliate, Node Operator, Developer, influencer, reseller, community group, or other third party.

7.2 Prohibition and Enforcement

Affiliates, Node Operators, Developers, and all other users are prohibited from making earnings guarantees, income projections, return-on-investment claims, or "payback period" claims regarding the Platform, in accordance with the AUP and the applicable role-specific agreement. ALL may require the removal of any non-compliant claim and may suspend or terminate accounts, withhold or reverse commissions, and take any other action permitted by the applicable agreement in response to a breach.

7.3 Reporting Misleading Claims

If you encounter any earnings claim relating to the Platform that appears misleading, please report it to [email protected].

8. Changes to Earnings Terms

ALL may modify the Earnings Schedule, the Developer Revenue Schedule, Affiliate commission terms, Service Category availability, and fee structures in accordance with the applicable role-specific agreement. Such changes may reduce or eliminate future earnings. Earnings opportunities that exist today may not exist in the future, and ALL may suspend or discontinue any Service Category, the ALL Marketplace, or any monetisation feature, in whole or in part, in any jurisdiction, subject to the applicable agreement and mandatory law.

9. Jurisdiction-specific Notices

Certain jurisdictions regulate earnings claims, business opportunities, consumer distance sales, and the offer of digital assets. Where applicable law requires additional disclosures, a waiting period, a cancellation right, or a specific form of earnings statement, ALL will provide them through the applicable purchase flow, jurisdiction-specific supplement, or disclosure document, and such requirements prevail over this Disclaimer to the extent of any inconsistency. Participation in earnings features may not be available in every jurisdiction.

10. Acknowledgement

By purchasing an ALL360 Device, enabling any Service Category, publishing an App, participating as an Affiliate, or otherwise using the Platform, you acknowledge that: (a) you have read and understood this Disclaimer; (b) you are not relying on any earnings, savings, or performance statement other than as expressly set out in your applicable agreement; (c) you may earn little or nothing and may not recover your costs; and (d) you have had the opportunity to seek independent professional advice.
